Stereogum & Relativity Music Group “Champion” Remix Contest Official Rules

Please read these Official Rules before entering the “Champion” Remix Contest

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. You are not required or encouraged to purchase any product or service in order to enter the “Champion” Remix Contest (the “Contest”).

AFFIDAVIT OF ELIGIBILITY/LIABILITY/PUBLICITY RELEASE MAY BE REQUIRED. SPONSOR SHALL BE THE EXCLUSIVE OWNER OF ALL ENTRIES. VOID WHERE PROHIBITED BY LAW.

The Contest begins at 12:01 p.m. Pacific Time (“PT”) on May 21, 2010 and ends at 5:00 p.m. PT on June 4, 2010 (the “Submission Period”).

The Contest provides entrants the opportunity to create and submit short remixes of the song “Champion” from the soundtrack for the film “MacGruber” using the assets provided by Relativity Music Group, LLC (“Sponsor”).

Eligibility: This Contest is open to legal residents of the fifty (50) United States and the District of Columbia, who are 13 years of age or older on the date of entry. This Contest is not open to employees or directors of Sponsor, Stereogum.com (the “Website”), or any of their respective parent companies, affiliates, subsidiaries or advertising and promotion agencies, or members of their immediate families (spouse or parent, child or sibling or their respective spouses, regardless of where they reside) or households, whether or not related. The Contest is subject to all applicable federal, state and local laws. By entering, entrants agree to be bound by these “Official Rules” and the decisions of the judges and/or Sponsor, which are final and binding on all matters relating to this Contest. By participating, entrants authorize Sponsor, at its sole discretion, to conduct a background check in the event the entrant is selected as a potential winner. In order to be eligible, entrants must acknowledge and agree to be bound by the Terms & Conditions, Privacy Policy, and Copyright Policy of the Website

To Enter: During the Submission Period, visit the Website at stereogum.com/macgruber select a unique URL for your use during the Submission Period for downloading assets and uploading your submission (your “Remix URL”), fill out the entry form with the information requested, such as your first and last name and valid e-mail address, and click to verify that you have read these Official Rules and that you are at least 13 years of age. Once you have obtained your Remix URL, you can then download certain audio tracks of the song “Champion” from the “MacGruber” soundtrack or other audio files provided on the Website by Sponsor and designated for use in entries (collectively the “Champion Assets”). Then create an original remix of the Champion Assets that is no more than 180 seconds long (a “Remix Submission”) and submit and upload your Remix Submission at your Remix URL as per the instructions on the Website. All Remix Submissions must be in the form of a soundcloud.com link pursuant to the contest sign-up page. Your submission may not contain any materials that are not owned by the entrant (other than the Champion Assets, which are owned by Sponsor and/or its licensors and licensed to entrant as set forth herein) unless the owners of such third party materials have provided their prior written permission for entrant to use such materials in entrant’s Remix Submission. Upon uploading a Remix Submission for entry in this contest, it will be posted on the Website and available for public listening. Entrants understand and agree that all Remix Submissions may be formatted, edited or otherwise converted by Sponsor or the Website in order to be played on the Website.

All Remix Submissions must be received by 5:00p.m. PT on June 4, 2010 to be eligible for consideration in this Contest. Once a Remix Submission is submitted, it cannot be modified in any manner by entrant. There is no limit to the number of Remix Submissions submitted per person or e-mail address, however, each Remix Submission should be substantially different than each of entrant’s other Remix Submissions, as determined by Sponsor in its sole discretion. Each Remix Submission will be deemed to have been submitted by one (1) entrant, regardless of the number of people who helped create the Remix Submission. In the event of any dispute concerning the identity of any entrant or regarding Remix Submissions received from multiple users having the same e-mail account, the Remix Submission will be deemed submitted by the natural person who is the authorized holder of the transmitted e-mail address at the time of Remix Submission. Authorized holder is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), online service provider, or other organization responsible for assigning e-mail addresses.

All Remix Submissions become property of the Sponsor and will not be returned, may be used by Sponsor in any manner, in any media, now known or hereafter devised, worldwide, in perpetuity. Sponsor and/or or its licensors hereby grant eligible entrants a non-exclusive license to create a derivative work using the Champion Assets (in whole or in part) solely for the purpose of creating a Remix Submission; provided, however, that such license shall be conditioned upon each entrant’s assignment of all rights in the Remix Submission to Sponsor or Sponsor’s licensors, as the case may be. If such rights are not assigned to Sponsor or Sponsor’s licensors, as the case may be, entrant’s license to create derivative works using the Champion Assets (in whole or in part) shall be null and void. By submitting a Remix Submission, each entrant agrees that he or she will not use their Remix Submission or the Champion Assets for any purpose other than to participate in this Contest, or otherwise make the Remix Submission or the Champion Assets available to any channel or means other than by uploading it to the Website as per the instructions for this Contest. Any other use of the Champion Assets or the Remix Submission is prohibited and may be grounds for disqualification and/or legal action for infringement.

By making a Remix Submission, entrant acknowledges and agrees that Sponsor may obtain many Remix Submissions under this Contest and may receive other submissions whether or not related to this Contest and that such Remix Submissions or other submissions may be similar or identical in theme, idea, format or other respects to others submitted under this Contest and/or other promotions staged and/or sponsored by the Sponsor or otherwise, and entrant waives any and all claims entrant may have had, may have, and/or may have in the future, that any similar submission, film, song and/or other works accepted, reviewed and/or used by the Sponsor (or its designees) may be similar to entrant’s Remix Submission or that any compensation is due to entrant in connection with such Remix Submission or other works used by Sponsor. Entrant acknowledges and agrees that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the protection of entrant’s Remix Submission or entrant’s contributions therein.

By submitting a Remix Submission, entrant acknowledges and agrees that Sponsor reserves the right to edit or otherwise revise each Remix Submission for any reason, including without limitation, for creative reasons, for technical reasons, or to comply with Sponsor’s obligations to its licensors.

Remix Submission Requirements: Any Remix Submission that is under 180 seconds in length and submitted via soundcloud.com url is eligible for this Contest. All Remix Submissions must be original and created by entrant specifically for this Contest and may not have been previously published, previously won awards, and the Remix Submission and the Remix URL must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. A Remix Submission will be ineligible for this Contest if it contains any third-party audio, sound or music files, or any other materials owned by a third party, unless the entrant has obtained prior written permission from the owners of such materials to use them in connection with this Contest. Remix Submissions and Remix URLs should be in keeping with Sponsor’s image and may not contain material or terms that are unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; obscene or inappropriate, as determined by Sponsor in its sole opinion. Sponsor reserves the right to disqualify any Remix Submission for any reason, in its sole and absolute discretion. Any Remix Submission that does not comply with the requirements set forth in these Official Rules will be deemed disqualified.

Prize Recipient Selection: Sponsor’s reviewing committee will listen to all eligible Remix Submissions timely received during the Submission Period and will judge them on the basis of creativity (33%), originality (34%), and professionalism (33%) (the “Judging Criteria”). Subject to verification of eligibility and compliance with these rules, up to five (5) Remix Submissions with the highest overall scores will be deemed finalists (“Finalist Remix Submissions”) and will advance to the celebrity judging round. In the event of a tie, an additional tie-breaking judge will determine finalists from among such tied Remix Submissions using the Judging Criteria set forth herein. The Finalist Remix Submissions will then be submitted to a celebrity judging round where at least two celebrity judges will judge the Finalist Remix Submissions based on the same Judging Criteria set forth herein and the Remix Submission Finalist with the highest overall score from the celebrity judging round will be declared the potential Grand Prize Winner. In the event of a tie for the Grand Prize Winner, an additional tie-breaking judge will determine the Grand Prize Winner among the tied Finalist Remix Submissions using the Judging Criteria set forth herein.

Sponsor reserves the right not to award a prize if, in its sole discretion, it does not receive a sufficient number of eligible and/or qualified Remix Submissions during the Submission Period. Sponsor also reserves the right, in its sole discretion, to disqualify any entrant that it finds has tampered with, or has attempted to tamper with, the submission process or the operation of the Contest, or to be in violation of rules or who has acted in a disruptive or unsportsmanlike manner. ALL DECISIONS OF SPONSOR, THE REVIEWING COMMITTEE, AND CELEBRITY JUDGES ARE FINAL AND BINDING.

Prize Recipient Notification: Sponsor will notify the potential Grand Prize Winner by e-mail and potential Grand Prize Winner will be required to respond within seven (7) days of date of notification. If a potential Grand Prize Winner cannot be contacted within a reasonable time period or does not respond to such notification within seven (7) days, an alternate potential Grand Prize Winner may be selected, at Sponsor’s sole discretion. Released Parties shall not be liable for (i) failed, returned or misdirected notifications due to inaccurate information provided by an entrant, or (ii) responses to Grant Prize Winner notifications which are lost, late, incomplete, illegible, unintelligible, misdirected, damaged or otherwise not received, in whole or in part, by Sponsor. To be entitled to receive a prize, the potential Grand Prize Winner must execute (a) an Affidavit of Eligibility and Liability and Publicity Release (except where prohibited); (b) all income tax documentation provided by Sponsor; and (c) documents sufficient to show written permission obtained from any third parties whose materials are incorporated into the winning Remix Submission; and (d) any other documents required by Sponsor. Potential Grand Prize Winner may also be required to submit to a background check. Failure to return these documents fully-executed to Sponsor within seven (7) business days after receipt, the return of such documents as non-deliverable, or noncompliance with these rules may result in disqualification and, at Sponsor’s discretion, an alternate Grand Prize Winner may be selected. If any Grand Prize Winner is under the age of 18 and/or considered a minor in his/her state of residence, Sponsor may, at its discretion, require that his/her parent or legal guardian execute all required documents on behalf of Grand Prize Winner.

Prize: The Grand Prize Winner will receive one (1) pair of Beats™ by Dr. Dre™ Studio™ High Definition Powered Isolation Headphones. Approximate Retail Value (“ARV”): $349.95. Any difference between stated value and actual value will not be awarded. All federal, state and local taxes and all other costs associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the Grand Prize Winner. Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Grand Prize Winner may not substitute, assign or transfer a prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with a prize of comparable or greater value or with the cash value of the prize. All prize details are at Sponsor’s sole discretion.

Contest Restrictions: Prize acceptance constitutes permission (except where prohibited by law) to use entrant’s name, recording on video, likeness, performance, prize won, photographs, statements and biographical information (all at Sponsor’s discretion) for future advertising, publicity and other purposes in any and all media now or hereafter devised throughout the world in perpetuity, without additional compensation, notification or permission. By participating in this Contest, you hereby agree to release and hold Sponsor, the Website, and their respective parent companies, subsidiaries, affiliates and advertising and promotion agencies and all of their respective officers, directors, employees, shareholders, licensees and agents (collectively, “Released Parties”) harmless from any and all claims, liabilities, damages, losses, costs and expenses, including attorneys’ fees and costs, arising in whole or in part, directly or indirectly, from your participation in the Contest or any Contest-related activity or acceptance, possession, use or misuse of any prize. You further agree to indemnify, defend, and hold Released Parties harmless from and against any third party claims, liabilities, damages, losses, costs and expenses, including attorneys’ fees and costs, arising from or relating to this Contest or any Released Party’s use of the Remix Submission in accordance with the rights granted herein. Released Parties are not responsible for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete, delayed or undelivered Remix Submissions; all of which will be void. Released Parties are also not responsible for problems uploading or downloading any Remix Submission-related information or materials from the Website or for any other technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, failure of any Remix Submission to be received by Sponsor on account of technical problems, traffic, congestion on the internet or the Website, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected communications which may limit entrant’s ability to participate in this Contest. Released Parties are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Contest, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Contest, the processing or judging of Remix Submissions, the incorrect uploading of submissions, the announcement of the prizes or in any Contest-related materials. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the submission process or the operation of this Contest, the Website or any other website, intending to annoy, abuse, threaten or harass any other entrant, Sponsor, Released Party, or any of its representatives or to otherwise be acting in violation of these rules and void all associated Remix Submissions. Sponsor reserves the right to suspend, modify or cancel this Contest, or any entrant’s participation in this Contest, at any time in its sole discretion if a computer virus, bug, non-authorized intervention or other problem corrupts the administration or security of this Contest, or for any other reason and, if this Contest is cancelled, to select the prize recipient(s) from among the non-suspect, eligible entries received prior to the cancellation date using the selection procedure set forth herein. CAUTION: Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek damages from any such entrant to the fullest extent permitted by law and to disqualify such entrant from the Contest.
